Proposed Amended Bylaws
The proposed amendments to the Bylaws are a comprehensive rewriting of the current bylaws to: (1) enable a reorganization of the Society’s committee structure and to authorize multiple vice presidents with oversight responsibilities for the committees; (2) permit the creation of an Executive Committee to act on behalf of the Board between meetings; (3) establish procedures and rules for conduct of the Society that are simpler and more consistent with Society practices; (4) ensure compliance with current legal requirements; and (5) eliminate ambiguities and internal conflicts in the current bylaws.
The Board of Directors believes these changes will position the Society to better serve the needs of a growing membership and more efficiently manage the multitude of activities in which it is now engaged.
